NookTV Terms of Service

These Terms of Service (“Terms”) govern your access to and use of NookTV’s digital signage software, websites, apps, and related services (the “Service”). By creating an account, accessing, or using the Service, you agree to these Terms.
1. Accounts & Eligibility
Minimum Age. You must be 18 years or older to use the Service.
Customers. Individuals, businesses, nonprofits, houses of worship, and other organizations may use the Service unless prohibited by law or these Terms.
Agencies/Resellers. Agencies and resellers may manage client screens, typically via separate Organizations inside one account. You are solely responsible for your clients and any obligations to them.
Account Security. You are responsible for safeguarding credentials, API keys, and devices connected to NookTV.
2. Free Tier
What’s included. A free tier is available and currently permits up to 3 screens provided you: (a) keep a valid payment method on file; and (b) complete phone verification.
Subject to change. Free screens are not guaranteed and may change or end at any time, with or without notice.
Failure of billing/verification. If your payment method is invalid or phone verification fails or is removed, screens may turn off immediately.
Other free-tier limits. Storage and other limits apply as posted on our Pricing page and may change from time to time.
3. Billing, Pricing & Taxes
Paid Model. Paid usage is billed per active screen per day, rolled into a monthly invoice. If you add or remove screens mid-cycle, we prorate daily based on active days.
Auto-Renewal & Invoices. Plans auto-renew monthly. We issue invoices once per month to the payment method on file. \
No Refunds. All fees are non-refundable. You are billed only for actual measured use. \
Non-Payment. If payment fails, we may suspend the Service (including disabling screens) and may terminate your account if not cured. We may charge your payment method at any time for accrued amounts. \
Taxes. Prices exclude taxes. We may collect and remit taxes where required. You are responsible for any other taxes, duties, and charges associated with your purchases. \
4. Promotions & Discounts
- We may offer promotions (including the free tier) and may revoke or modify them for abuse or fraud. Unless stated otherwise, promotions do not stack and have no cash value. \
5. Content: Ownership, Responsibility & License
- Your Content. “Content” means anything you upload, stream, display, store, or otherwise provide to or through the Service (e.g., images, video, audio, text, logos). You own your Content. \
Your Responsibility. You are solely responsible and liable for your Content and its display or distribution (including public performance rights, venue licenses, advertising disclosures, menu/pricing accuracy, accessibility, and compliance with any third-party rights, contracts, or laws).
License to NookTV. You grant NookTV and our subprocessors a worldwide, non-exclusive, royalty-free license to host, store, cache via CDN, transcode, compress, reformat, analyze, reproduce, distribute, and display your Content solely to provide, secure, and improve the Service (including generating thumbnails, screengrabs, and previews inside the product).
Marketing Use. We may use your name and logo on our website and marketing materials unless you opt out by emailing hello@nooktv.io. We will not use your Content in external marketing without your prior consent (other than standard product thumbnails/screenshots as displayed within the Service).
6. Prohibited Content & Conduct
You may not use the Service to upload, display, or distribute Content that is:
illegal; infringing or violating IP or publicity/privacy rights;
hateful, harassing, discriminatory, or inciting violence;
pornographic or sexually explicit; graphically violent;
malware, spyware, or other harmful code;
payment card data (PCI), protected health information (PHI), or other regulated personal data that you do not have the right to process;
otherwise violates applicable law or these Terms.
We may remove Content or suspend/terminate accounts at our discretion for risk, abuse, or legal concerns. We do not promise to monitor and make no takedown-time guarantees.
7. IP Complaints & DMCA
If you believe Content infringes your rights, email hello@nooktv.io with a detailed notice (link to the Content, your contact details, rights claimed, and a good-faith statement). We may remove or restrict Content and, when appropriate, notify the user.
8. Phone Verification & SMS Terms
By providing a phone number, you consent to receive verification and service text messages (e.g., security alerts). Message & data rates may apply.
Reply STOP to opt out of non-essential texts; HELP for help.
Marketing texts (if any) are sent only with your prior express consent and can be opted out at any time. We do not send automated marketing texts.
9. Service Scope, Availability & Changes
No SLAs. Unless expressly agreed in a separate signed contract, the Service is provided on a best-effort basis with no uptime or support SLAs.
Maintenance & Limits. We may maintain, update, throttle, or limit the Service (e.g., bandwidth, API calls, storage, bitrate, resolution) to ensure stability and security.
Devices. You are responsible for procuring and setting up your hardware and device software (e.g., Android TV, Fire TV, browsers) and for reliable internet connectivity.
10. Privacy & Data
Privacy Policy. Our handling of personal data is described in our Privacy Policy (link on our website).
Analytics. We may create aggregated and/or anonymized analytics from usage data for improving the Service and insights.
Data Transfers. You authorize cross-border transfers and CDN delivery where needed to provide the Service.
11. Acceptable Use & Legal Compliance
You agree to comply with all applicable laws and regulations, including: advertising and consumer protection, menu labeling/pricing accuracy, accessibility standards, public performance licensing, export controls and sanctions, and data protection. You may not: scrape or crawl the Service; test or probe security without written authorization; reverse engineer or access the Service to build a competing product; resell except as permitted for agencies/resellers; or use the Service for unlawful purposes.
12. Term, Suspension & Termination
Suspension. We may suspend the Service (including disabling screens) for non-payment, abuse, or legal risk.
Termination. You may terminate at any time via your account or by contacting us. We may terminate with notice or immediately for cause.
Post-Termination. We do not guarantee any retention or export of your Content after termination or suspension and may delete Content at our discretion.
13. Warranties & Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
No Indirect Damages. NookTV will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or loss of profits, revenues, data, or goodwill.
Cap. NookTV’s total liability for all claims in the aggregate will not exceed the greater of (a) US$100 or (b) the amounts you paid to NookTV for the Service in the 12 months before the event giving rise to liability.
15. Indemnification
You will defend, indemnify, and hold harmless NookTV, its affiliates, and their directors, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your Content; (b) your use of the Service in violation of these Terms or law; or (c) alleged or actual infringement or misappropriation by your Content or use.
16. Governing Law; Dispute Resolution
Law & Venue. These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflicts rules.
- Binding Arbitration; Class Waiver. Any dispute will be resolved by binding arbitration administered by a recognized provider. Class actions, class arbitrations, and representative actions are not permitted.
Opt-Out. You may opt out of arbitration by emailing hello@nooktv.io within 30 days of first accepting these Terms, stating your name, account email, and that you opt out of arbitration.
Small Claims. Either party may bring an individual action in small-claims court where permitted.
Injunctive Relief. Either party may seek injunctive or equitable relief in court to protect IP or prevent unauthorized use.
17. Changes to These Terms
We may update these Terms. We will email you with at least 15 days’ notice before changes become effective (unless a shorter period is required by law or for security/urgent updates). Your continued use after the effective date constitutes acceptance.
18. Order of Precedence
If you and NookTV sign a separate contract (e.g., Order Form or MSA), that contract controls to the extent of a conflict for that specific customer; otherwise, these Terms apply.
19. Third-Party Services & Subprocessors
The Service may integrate with or rely on third-party services (e.g., CDNs, storage, encoders). Your use of third-party services may be subject to their terms. We may engage subprocessors to deliver the Service.
20. Assignment
You may not assign these Terms without our consent, except to a successor by merger, acquisition, or sale of substantially all assets. We may assign or transfer these Terms freely, including in connection with a merger, acquisition, or sale.
21. Feedback
If you provide feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or obligation.
22. Miscellaneous
Entire Agreement. These Terms (plus any policies referenced) are the entire agreement between you and NookTV for the Service.
Severability. If any provision is unenforceable, the remainder remains in effect.
No Waiver. Failure to enforce a provision isn’t a waiver.
Force Majeure. We aren’t liable for delays or failures due to events beyond our reasonable control.
Notices. We may send notices to your account email; you will send legal notices to hello@nooktv.io.
